News On Inceptus Capital Ltd. (ICL.P.V) Now Under SMWE.V

The TSX Venture Exchange has accepted for filing Inceptus Capital Ltd.'s qualifying transaction (QT) and related transactions described in its prospectus dated March 2, 2026.

As a result, at the opening on Friday, June 26, 2026, the company will no longer be considered a capital pool company.

The QT includes the following matters, all of which have been accepted by the exchange.

Qualifying transaction -- completed/new symbol

Pursuant to a share exchange agreement dated Feb. 5, 2024, as amended, the company has acquired all of the issued and outstanding securities of Smartwell Technology Inc. on a one-for-one exchange basis. In connection with the closing, the company issued 97.73 million common shares to the former shareholders of Smartwell.

Concurrently with the QT, Smartwell completed a concurrent financing consisting of 15 million units at a price of 20 cents per unit for total gross proceeds of $3-million. Each unit consists of one common share and one common share purchase warrant, exercisable at 50 cents for a period of 24 months. These securities were exchanged for equivalent securities of the resulting issuer on a one-for-one basis at closing.
